Forming a GmbH online, signing a Commercial Register application by video or having a shareholder resolution notarized digitally: procedures that previously generally required a personal visit to a notary's office can now be completed online for numerous corporate-law matters in Germany.
However, there is a crucial difference between online notarization and online signature certification. Not every procedure that can be prepared digitally may also be completed entirely by video conference.
Since August 1, 2022, German law has permitted certain online notarial procedures through the video communication system operated by the German Federal Chamber of Notaries (Bundesnotarkammer). The legal possibilities were subsequently expanded.
In 2026, GmbHs and UGs can be formed online, certain shareholder resolutions can be notarized by video, and applications to various public registers can be certified online.
Other legal transactions, however, still require in-person notarization. Examples include ordinary real estate purchase agreements and marriage contracts.
It should also not automatically be assumed that general powers of attorney, healthcare powers of attorney or transfers of GmbH shares can be fully notarized online.
This guide explains which notarizations and signature certifications are possible by video in 2026, which technical requirements apply, how the costs differ and which documents still require an in-person notary appointment.
The Most Important Points in 30 Seconds
- Online notarization: During a notarial authentication procedure, the notary provides legal guidance concerning the transaction and records it in a notarial deed. For certain transactions, this can be carried out through the video communication system of the German Federal Chamber of Notaries.
- Online signature certification: In authorized electronic certification procedures, the notary primarily confirms the authenticity or attribution of an electronic signature.
- GmbH and UG: Both company forms can be established through online notarization, provided the statutory requirements are satisfied.
- Commercial Register: In principle, all Commercial Register applications can be completed through the legally authorized online signature certification procedure.
- Other registers: Applications to the Company Register, Cooperative Register, Partnership Register and Association Register can also be certified online.
- Shareholder resolutions: Unanimous shareholder resolutions of a GmbH or UG, for example concerning amendments to the articles of association and capital measures, can be notarized online under the statutory requirements.
- Not generally available online: Real estate purchase agreements, marriage contracts, ordinary notarized healthcare powers of attorney and transfers of GmbH shares are not automatically included among the permitted online procedures.
- Technology: A suitable identity document with electronic identification functionality, a smartphone with NFC and the Notary App, and a computer or tablet with a camera and microphone are generally required.
- Additional fees: Online notarial procedures generally involve additional fees of €25 per notarization procedure or €8 per signature certification procedure, plus VAT in each case.
- beglaubigt.de: Through digital preparation of notarial signature certifications and online GmbH formation, suitable procedures can be organized and the necessary notary appointments coordinated.
What Is the Difference Between Online Notarization and Online Signature Certification?
The two terms are frequently used interchangeably, but they describe different notarial activities under German law.
Adding the word “online” does not change this distinction. Even where both procedures can take place by video conference, they differ particularly in the scope of the notary's review and their legal function.
During notarial authentication (Beurkundung), the legal transaction itself is the focus.
Under Section 17 of the German Notarization Act (BeurkG), the notary must establish the intentions of the parties, clarify the circumstances, explain the legal consequences and record the declarations clearly and unambiguously in the notarial deed.
The parties should understand which legal obligations they are assuming and what consequences their declarations will have.
By contrast, a notarial signature certification (Unterschriftsbeglaubigung) generally concerns the authenticity or attribution of a signature.
In the conventional procedure, the signature is either made before the notary or acknowledged as the signer's own. For legally authorized electronic procedures, Section 40a BeurkG provides special rules.
For example, two founders want to establish a GmbH. Under Section 2 GmbHG, the articles of association must be notarized. For an eligible formation, this notarization can take place online.
The Commercial Register application is then prepared.
This application generally requires public certification of the signature, which may also be completed online. Although both steps form part of the same company formation process, they are two distinct notarial procedures.
Anyone wishing to understand the legal differences in more detail can consult our guide “Certification or Notarization: What's the Difference?”.
Which Notarial Procedures Can Be Completed Online in 2026?
The German Federal Chamber of Notaries identifies a legally limited range of transactions for which online notarization is permitted. The main focus is on corporate-law procedures for which the legislature has expressly authorized a digital process.

These include, in particular, forming a GmbH or UG, certain formation powers of attorney and unanimous shareholder resolutions, including amendments to articles of association and capital measures. The fact that a declaration can be prepared in writing is not sufficient on its own.
For online notarization to be permitted, the particular transaction must be legally authorized for the procedure, and the technical and personal requirements must be satisfied.
Notarizing a GmbH Formation Online
A GmbH can be formed entirely through online notarization under the applicable statutory requirements in Germany.
The articles of association are not simply signed as an ordinary PDF. Instead, notarization takes place through the legally regulated video communication procedure.
The notary verifies the identities of the parties, explains the legal contents and carries out the notarization in accordance with the relevant provisions.
The participants provide the required electronic signatures within the authorized system.
Following the notary appointment, the remaining formation steps must be completed.
For a typical cash formation, these include opening a business bank account, paying the required share capital and completing the Commercial Register application.
Online notarization therefore does not mean that the GmbH is already fully registered in the Commercial Register immediately after the video appointment.
You can form a GmbH online through beglaubigt.de.
The platform organizes digital data collection, document preparation and coordination of an online or in-person notary appointment.
For suitable formations, a notary appointment is organized within 7 working days.
The legally required notarization is performed by an independent, duly authorized notary.
We explain the complete digital formation process in our guide “German Federal Chamber of Notaries Online Formation: How Digital Company Formation Works”.
Notarizing a UG Formation Online
An Unternehmergesellschaft (haftungsbeschränkt), or UG, can also be formed through online notarization.
The legal basis is essentially the same as for forming a GmbH. The main difference concerns the capital requirements. A UG can be established with share capital below €25,000.The agreed share capital must be paid in full before the Commercial Register application is submitted. Contributions in kind are not permitted when forming a UG.
For freelancers, digital service providers and founders with relatively modest initial capital requirements, a UG may therefore be an attractive option. However, notarization, Commercial Register registration, tax registration and other statutory obligations remain necessary.
Through digital UG formation with beglaubigt.de, the required information can be submitted online, formation documents prepared and a suitable notary appointment coordinated.
We explain the technical and legal requirements in our guide “Forming a UG Online: Requirements and Step-by-Step Instructions”.
Notarizing a Formation Power of Attorney Online
Not every founder can personally attend the notary appointment.
In certain circumstances, another person may therefore be authorized to represent the founder during company formation.
Online notarization is expressly permitted for certain GmbH and UG formation powers of attorney.
This is particularly useful for founders who are abroad or cannot attend the appointment personally for organizational reasons. However, the legal authorization to notarize a formation power of attorney online does not mean that every general power of attorney or healthcare power of attorney can also be certified online.
The power of attorney must fall within the permitted corporate-law procedure. The applicable identification and notarial requirements must also be satisfied.
Notarizing Unanimous Shareholder Resolutions Online
Certain corporate resolutions can also be notarized online after the company has been formed.
The German Federal Chamber of Notaries specifically identifies unanimous shareholder resolutions of a GmbH or UG.
These include, for example, amendments to the articles of association, capital increases and other capital measures, provided the statutory requirements are met and no conflicting formal requirements apply.
This is particularly relevant for companies with several shareholders working from different locations. The situation may be different for a disputed majority resolution. The general authorization for unanimous online shareholder resolutions does not mean that every resolution can be notarized online regardless of the voting circumstances.
Which Signatures Can Be Certified Online by a Notary in 2026?
The statutory online signature certification procedures are particularly relevant for register applications.
In this area, German law permits a significantly broader range of online procedures than for ordinary private signatures.
According to the official overview provided by the German Federal Chamber of Notaries, all applications to the following registers can be certified online:
- Commercial Register (Handelsregister)
- Company Register (Gesellschaftsregister)
- Cooperative Register (Genossenschaftsregister)
- Partnership Register (Partnerschaftsregister)
- Association Register (Vereinsregister)
This authorization applies to the respective register application.
It does not automatically mean that every underlying legal transaction that subsequently results in a register amendment can also be notarized online.
Certifying a Commercial Register Application Online
Commercial Register applications are among the most important applications of online notarial signature certification.
For example, a GmbH may register a new business address, record a change of managing director or submit other changes that must be entered in the Commercial Register.
The application is electronically certified through the legally prescribed procedure and subsequently transmitted by the notary's office to the competent registry court. When changing a managing director, it is particularly important to distinguish between the underlying shareholder resolution and the Commercial Register application.
The appointment or dismissal of a managing director does not always require notarization. However, the Commercial Register application is subject to the statutory signature certification requirements.
We explain this in more detail in our guide “Certification or Notarization: What's the Difference?”.
Changing a GmbH Business Address Online
A GmbH wants to replace its existing private business address with an external business address. The company's registered office remains unchanged.
In this situation, a notarized amendment to the articles of association is generally not required. However, the new business address must be registered in the Commercial Register. This application can be certified through the authorized online procedure.
beglaubigt.de also offers serviceable business addresses with a digital mailbox.
Companies can use a suitable external business address and organize their business correspondence digitally. The change in the Commercial Register must be completed separately in the prescribed legal form.
Anyone wishing to understand the differences between a registered office, business address and place of effective management for tax purposes can find additional information in our guide “Getting Documents Certified in Germany: Where, How and How Much Does It Cost?”, which explains general certification procedures, as well as in our dedicated article on relocating a GmbH's registered office.
Certifying Association Register Applications Online
Associations can also benefit from online notarial procedures.
When a registered association is formed, a new board is elected or another reportable change takes place, the relevant Association Register application can be certified through the authorized online procedure. The underlying resolutions under association law must still be validly adopted and properly documented. Notarial certification of the register application does not automatically replace a required general meeting or other internal association decisions.
Registering a Company in the Gesellschaftsregister and an eGbR Online
Since the reform of German partnership law, civil-law partnerships (Gesellschaften bürgerlichen Rechts, GbR) can be entered in the Company Register under the statutory requirements.
Registering an eGbR in the Gesellschaftsregister is another application of online notarial signature certification. Subsequent register applications can also generally be completed online. However, registering a GbR as an eGbR does not create the same limitation of liability as a GmbH or UG.
The shareholders generally remain personally liable.
Founders choosing between a GbR, UG and GmbH should therefore consider not only the digital registration procedure but also the legal differences between these company forms.
Cooperative Register and Partnership Register
Applications to the Cooperative Register and Partnership Register can also be certified online.
This is particularly relevant for cooperatives and professional partnerships where board members, representation arrangements or other register information changes. Online signature certification concerns the register application itself. Whether an additional corporate-law measure requires notarization or another legally prescribed form must be assessed separately.
Which Notarial Procedures Cannot Be Completed by Video in 2026?
The introduction of online notarial procedures does not mean that all notarial transactions can be completed digitally.
German lawmakers have deliberately limited the permitted scope. In-person notarization remains particularly important for real estate transactions, family-law agreements and other complex legal transactions.
Real Estate Purchase Agreements
Under Section 311b (1) BGB, a contract for the purchase of real estate must generally be notarized. Ordinary online notarization through the video communication system operated by the German Federal Chamber of Notaries is not generally permitted for this transaction in 2026.
A simple video conference with a notary or a qualified electronic signature does not replace the legally required in-person notarization. Preparation can, of course, take place digitally.
Contract documents can be exchanged electronically, and questions can be clarified before the appointment. However, the actual notarization must take place in the legally prescribed form.
Marriage Contracts
Marriage contracts are also among the legal transactions for which notarization is required. Under Section 1410 BGB, a marriage contract must generally be concluded before a notary with both parties present at the same time.
An ordinary online notary appointment does not replace this procedure in Germany in 2026.
Transferring GmbH Shares
Under Section 15 (3) GmbHG, the transfer of GmbH shares generally requires notarization.
The fact that GmbH formations and certain shareholder resolutions can be notarized online does not mean that every share purchase agreement is included in the permitted online procedures. For planned share transfers, the articles of association, possible consent requirements, the shares concerned and the required notarial form should therefore be examined at an early stage.
General Powers of Attorney and Healthcare Powers of Attorney
Care is also required with powers of attorney.
Many powers of attorney can generally be issued in private written form.
However, special formal requirements or documentation requirements may apply depending on their intended use.
A general power of attorney or healthcare power of attorney does not automatically qualify for online notarial certification simply because German law now permits electronic notarial procedures.
The legally authorized online procedures for corporate formation powers of attorney must not be confused with general permission for all types of powers of attorney.
Through beglaubigt.de, suitable powers of attorney can be prepared digitally.
The necessary and legally permitted notarial procedure depends on the specific intended use.
What Technical Requirements Do I Need for an Online Notary Appointment?
An ordinary video conference using Zoom, Microsoft Teams or another general video service is not sufficient for an online notarial procedure.
The German Federal Chamber of Notaries operates its own legally prescribed video communication system.
This system combines electronic identification of the participants with the notarial procedure and the required electronic signatures.
According to the official requirements, participants generally need a suitable identity document with activated electronic identification functionality, a smartphone with NFC and the Notary App, and a computer or tablet with a camera and microphone.
The exact requirements may vary depending on the identity document and nationality.
Example: Two Founders Living in Different Cities
Anna lives in Hamburg and Ben lives in Munich.
They want to establish a GmbH without having to travel together to a notary's office.
They prepare their formation documents digitally and check before the appointment whether their identity documents are suitable for the online notarial procedure.
Both then participate in the notarization appointment through the system operated by the German Federal Chamber of Notaries.
The notary completes the required identification and notarization procedures. The electronic signatures are provided within the authorized system.
Following the appointment, a typical cash formation requires opening a business bank account, paying the necessary share capital and completing the Commercial Register application.
This example demonstrates that online notarization primarily makes the notarial procedure independent of the participants' physical locations.
The remaining statutory formation steps still apply.
How Does Online Notarization Work?
The procedure begins by selecting a transaction that is legally eligible for online notarization.
The required information and documents are then prepared.
Participants register in the official online system and complete the necessary electronic identification.
The qualified electronic signature is prepared on this basis.
Before the appointment, the notary's office coordinates the draft deed with the parties.
During the video appointment, the legally required steps are completed.
These include the notary's explanations, review of the deed and the necessary electronic signatures.
The German Federal Chamber of Notaries describes a procedure using qualified electronic signatures and individual confirmation for each signing process.
After notarization is completed, the remaining legally required steps are carried out. For a GmbH formation, this includes the subsequent Commercial Register procedure.
beglaubigt.de handles the organizational preparation of suitable company formation procedures and coordinates the notary appointment.
The actual online notarization takes place through the legally prescribed procedure under the responsibility of the competent notary.
How Does Online Signature Certification Work?
During an online signature certification, the focus is not on notarizing an entire legal transaction but on certifying an electronic signature through the legally prescribed procedure.
A typical example is registering a new business address in the Commercial Register.
First, the application is prepared. The person authorized to submit the application then completes electronic identification through the statutory online procedure and provides the required electronic signature.
The notary certifies the signature under the applicable legal provisions. The application is then submitted electronically to the competent registry court through the notary's office.
Online signature certification therefore does not mean that any scanned signature can subsequently be converted into a publicly certified signature with a single click. The legally authorized procedure, identity verification and notarial involvement remain essential.
How Much Does Online Notarization Cost in 2026?
Notarial fees are governed by the German Court and Notary Costs Act (Gerichts- und Notarkostengesetz, GNotKG).
The relevant factors include the transaction value, type of legal transaction and required notarial activities.
Different fee provisions apply, for example, to the articles of association of a GmbH, amendments to the articles or capital measures.
The German Federal Chamber of Notaries explains that statutory notary fees are uniform throughout Germany.
Choosing between an authorized online procedure and an in-person appointment therefore does not automatically change the statutory basic fees.
However, using the notarial video communication system involves an additional fee of €25 per online notarization procedure plus VAT.
Example: Forming a GmbH Through Online Notarization
Two founders want to establish a GmbH with share capital of €25,000 and individually drafted articles of association.
For a particular example of a multi-shareholder GmbH formation with individually drafted articles, the German Federal Chamber of Notaries quotes notarial fees of €630 before expenses and VAT.
For an eligible online notarization, the statutory video procedure fee of €25 plus VAT is added.
Other notarial activities, register fees and potential service costs must be considered separately.
Founders who want to organize the entire formation process through beglaubigt.de can use its digital GmbH formation service.
According to the published service information, formation packages start at €249 plus VAT.
Statutory notary and register fees are charged separately.
How Much Does Online Signature Certification Cost in 2026?
Fees for notarial signature certification are also generally governed by the GNotKG.
For an ordinary signature certification, Cost Schedule No. 25100 GNotKG generally provides for a 0.2 fee, with a minimum of €20 and a maximum of €70.
For certain register applications, additional fees may apply for drafting, electronic submission and completion of the procedure.
The statutory online signature certification procedure involves an additional video fee of €8 per certification procedure plus VAT.
Online signature certification is therefore not automatically cheaper than a conventional notary appointment.
The main advantage may be that participants do not need to travel to the notary's office and can prepare their documents digitally.
It is also important to distinguish between statutory notary fees and additional services.
Where a service provider handles document preparation and appointment scheduling, a separate service fee may apply.
Through beglaubigt.de, suitable signature certifications can be prepared digitally.
The exact price depends on the service provided and the required notarial procedure.
Is Online Notarization as Legally Valid as an In-Person Appointment?
Yes, provided the law permits the online procedure for the specific transaction and all statutory requirements are satisfied.
Online notarization is not an informal substitute for a notarial deed.
It is a legally regulated procedure with special requirements concerning identification, video communication and electronic signatures.
The German Federal Chamber of Notaries operates the official video communication system.
Notarial responsibility remains with the competent notary.
A properly completed online notarization can therefore satisfy the legally prescribed notarial form for an eligible transaction.
The same applies to online signature certification where it is properly completed through an authorized procedure.
The situation is different for legal transactions that are not included among the permitted online procedures.
For these transactions, an ordinary video conference cannot replace the required notarial form.
What Mistakes Commonly Occur During Online Notarization and Signature Certification?
A common mistake is assuming that every notarial activity can now be completed by video.
In reality, the statutory range of permitted online procedures is limited.
A real estate purchase agreement or ordinary transfer of GmbH shares cannot simply be notarized through the same online procedure as a GmbH formation.
Confusing notarization with signature certification is another problem.
Where a contract legally requires notarization, merely adding a certified signature does not automatically satisfy the statutory notarization requirement.
Another common mistake concerns the technical requirements.
Not every identity document is suitable for electronic identification.
Particularly where foreign participants are involved, identification options should be checked before booking the appointment.
An ordinary electronic signature is also insufficient to replace a statutory online notarial procedure.
The required signatures must be created within the authorized system.
Finally, founders should not confuse the notary appointment with completion of the entire company formation.
Opening the bank account, providing share capital, Commercial Register registration and registration with public authorities remain separate steps.

Conclusion: What Can Really Be Done by Video with a Notary in 2026?
In 2026, numerous corporate-law procedures can be completed through online notarial services in Germany.
These include, in particular, GmbH and UG formations, certain formation powers of attorney, unanimous shareholder resolutions and applications to the Commercial Register, Company Register, Cooperative Register, Partnership Register and Association Register.
The distinction between online notarization and online signature certification remains essential.
Notarization concerns the legal transaction itself and involves a more extensive notarial review and explanation.
Signature certification, by contrast, primarily confirms the authenticity or attribution of a signature.
Not all notarial procedures are permitted online.
Real estate purchase agreements, marriage contracts and ordinary transfers of GmbH shares cannot simply be completed through the same video communication system used for GmbH formation.
Anyone wishing to choose the appropriate digital procedure should therefore first establish which notarial form is required and whether the specific transaction falls within the legally permitted online procedures.
