  • What are the requirements for online formation?

    To start the online formation process for your company via Beglaubigt.de, the following requirements must be met:

    1. Digital Identification:

    • A valid ID card with activated online identification function (eID) or a European eID.
    • A valid passport to read the photo if your ID card was issued before August 1, 2021. Please note that the issue date is important, not the expiration date.

    2. Berlin Registration:

    You must be registered in Berlin to use the online formation service.

    2. The formation must be a template-based formation, meaning the notary fees must not exceed €300.
    3. Cash Formation:
    4. It must be a cash formation; the share capital (minimum of €1) cannot be contributed as assets.
    5. Technical Equipment:
    6. A smartphone with NFC technology is required to read the eID and photo ID. Additionally, you need to install the free smartphone app from the Federal Notary Chamber, which is necessary for the reading process.

    • The formation process takes place via a secure online videoconferencing system. The founders, managing directors, and the notary participate in this videoconference to discuss and notarize all necessary documents, such as shareholder declarations and the articles of association.

    2. Registration and Identification:

    • Participants register via a dedicated smartphone app.
      For identification, you will use the eID function of your ID card or passport. The app reads the photo directly from the chip on the ID.
    • This requires a readable ID card, passport (CAN procedure), or an eID card.
    • Foreign nationals may need an electronic residence permit with an activated online ID function and PIN.

    3. Electronic Signature:

    • Signatures for the formation documents are made electronically using a qualified electronic signature (QES).
    • A certificate, which replaces a handwritten signature, can be obtained from various certification service providers. These providers typically issue a smartcard with a PIN, which can be read using card readers.
