Yes – under certain legal requirements, the incorporation of a UG (limited liability) or GmbH is fully possible online.
Since the entry into force of the Act Implementing the Digitalisation Directive (DiRUG / DiREG), certain corporate law procedures can be carried out digitally. Online notarization is conducted in accordance with Section 40a et seq. of the German Notarisation Act (BeurkG) via a secure video communication system. Identification is based on the requirements of the eIDAS Regulation (EU) and is carried out in a legally compliant manner.
As part of an online incorporation, the following steps in particular can be completed digitally:
• Notarial certification of the incorporation documents
• Registration with the commercial register (Section 12 HGB)
• Submission to the competent registry court
• Structuring of shareholder lists (Section 40 GmbHG)
Not every constellation is permitted online. Full online incorporation is currently possible primarily for cash contributions. In the case of contributions in kind or more complex special constellations, an in-person appointment may still be required.

Identity verification is carried out using legally approved procedures. Electronic signatures and identification processes comply with the requirements of the eIDAS Regulation and are legally valid throughout Europe.
If a document is additionally provided with an apostille, it is recognized under international law in over 120 contracting states on the basis of the Hague Convention Abolishing the Requirement of Legalisation for Foreign Public Documents. No further consular legalization is required in these countries.
Important: Not every notarial act is legally permitted online. Therefore, we review in advance whether your specific request can be implemented digitally in a legally compliant manner. If this is the case, online notarization is legally equivalent to traditional in-person notarization.
